These Terms & Conditions (“Terms”) govern your access to and use of the website, member portal, facility, and services of Business One Stop Shop (“B-OSS,” “we,” “us”), operated by Nexo Media Foundation Inc. (EIN 85-2706759), at 350 E St Ste 100, Santa Rosa, CA 95404 (the “Services”). By creating an account, booking a space, purchasing a membership, or otherwise using the Services, you agree to these Terms.
1. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.
2. The Services
B-OSS provides a shared business hub including coworking, meeting and event rooms, podcast and media rooms, workshop space, shipping and print services, virtual offices, business programs, and a member portal (CRM). Availability of specific spaces, amenities, and programs may change.
3. Memberships, Bookings, and Payments
- Memberships and plans: membership and virtual-office plans renew on the cycle shown at sign-up (e.g., monthly) until canceled.
- Bookings: room and resource reservations are subject to availability and the price shown at checkout, including any applicable dynamic pricing and coupons.
- Payments: payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees and any recurring charges for subscriptions.
- Cancellations and refunds: you may cancel a booking up to [INSERT, e.g., 24 hours] before the start time for a refund or credit. Subscriptions may be canceled at any time and remain active through the end of the current billing period; fees already paid are non-refundable except as required by law.
4. Acceptable Use and Conduct
When using the facility and Services, you agree not to:
- Violate any law or the rights of others, or use the Services for unlawful purposes;
- Damage, disrupt, or misuse the facility, equipment, or network;
- Harass, threaten, or discriminate against staff, members, or guests;
- Use the business address or virtual office for fraudulent or illegal activity;
- Attempt to gain unauthorized access to the portal, CRM, or other accounts.
We may suspend or terminate access for conduct that violates these Terms or threatens the safety of the community.
5. SMS Program
If you opt in to our SMS program, you consent to receive text messages as described in our Privacy Policy. Message frequency varies; message and data rates may apply. Reply STOP to unsubscribe or HELP for help. Opting out of SMS does not affect your account or other communications.
6. Intellectual Property
The B-OSS name, logo, site content, and materials are owned by B-OSS or its licensors and are protected by law. You may not copy, modify, or distribute them without our written permission. You retain ownership of content you create using the Services.
7. Third-Party Services and Providers
The Services include third-party tools (such as Stripe) and on-site service providers (such as attorneys, CPAs, and advisors). B-OSS does not control and is not responsible for third-party services or the professional advice of independent providers; your dealings with them are solely between you and that provider.
8. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. B-OSS does not guarantee that the Services will be uninterrupted, secure, or error-free, or that any business, funding, or referral outcome will result from use of the Services.
9. Limitation of Liability
To the fullest extent permitted by law, B-OSS and Nexo Media Foundation Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid to B-OSS in the [INSERT, e.g., three] months before the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless B-OSS, Nexo Media Foundation Inc., and their officers, directors, and staff from claims, damages, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Sonoma County, California, and you consent to their jurisdiction.

13. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or for operational, legal, or safety reasons. Sections that by their nature should survive termination will survive.
